1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and ORION Protection Services Group, Inc. ("ORION," "we," "us," or "our"), a California corporation headquartered in San Rafael, California, operating under California Private Patrol Operator License #16734 issued by the Bureau of Security and Investigative Services (BSIS).

By accessing or using www.orionprotectionservices.com (the "Site"), you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Site.

2. Nature of This Website

The Site is provided for general informational purposes and to allow prospective clients, applicants, and other visitors to learn about ORION and contact us. Content on the Site does not constitute security, legal, or professional advice for any specific situation, and it should not be relied upon as such.

Submitting a consultation request, quote request, or any other inquiry through the Site does not create a contract for security services, does not guarantee service availability, coverage, or pricing, and does not establish a protective relationship of any kind. Security services are provided solely under a separate written service agreement executed between ORION and the client, and that agreement — not these Terms — governs the provision of those services.

Emergencies

This Site and its contact forms are not monitored continuously and must not be used to report emergencies or request emergency assistance. If you have an emergency, call 911. For urgent, same-day fire watch coverage, call our dispatch line at 415-499-1270.

3. Eligibility

By using the Site, you represent and warrant that you are at least 18 years of age, or that you are using the Site under the supervision of a parent or legal guardian who agrees to these Terms on your behalf. The Site is not directed to children under 13, and we do not knowingly collect personal information from them.

4. Permitted Use & Prohibited Conduct

You may use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Use the Site in any way that violates applicable federal, state, or local law or regulation
  • Submit false, misleading, or fraudulent information through any form on the Site
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to the Site, its server, or any connected systems or databases
  • Introduce viruses, malware, or any other harmful code or material
  • Use any robot, spider, scraper, or other automated means to access or copy the Site without our prior written consent
  • Interfere with or disrupt the operation of the Site or the servers or networks used to make it available
  • Use the Site to harass, threaten, or harm any person, or to solicit information for unlawful surveillance or any other unlawful purpose

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to ORION or others.

5. Consultation Requests & Communications

When you submit information through the Site — including consultation requests, quote requests, and general inquiries — you represent that the information you provide is accurate, current, and complete, and that you are authorized to provide it.

By providing your contact information, you consent to being contacted by ORION regarding your inquiry by email, telephone, and/or text (SMS) message, as described in our Privacy Policy. Consent to marketing communications is not a condition of purchasing any services, and you may opt out of marketing communications at any time. Message and data rates may apply to text messages under your carrier's plan.

6. Employment Applications

Information submitted through the careers section of the Site or in connection with an application for employment does not constitute an offer of, or contract for, employment. Any employment with ORION is contingent on ORION's hiring processes, including verification of licensing, background checks, and any other requirements under California law. You represent that all information you submit in connection with an application is truthful and accurate; false statements are grounds for refusal to hire or for termination.

7. Intellectual Property

The Site and its entire contents — including text, graphics, logos, images, page designs, and their selection and arrangement — are owned by ORION or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. The ORION name, the ORION logo, and all related names, logos, and slogans are trademarks of ORION Protection Services Group, Inc.

You may view, download, and print pages from the Site for your own personal, non-commercial use. You may not otherwise reproduce, distribute, modify, create derivative works of, publicly display, republish, or transmit any material on the Site without our prior written consent.

8. Third-Party Websites

The Site may contain links to third-party websites or services that are not owned or controlled by ORION. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party website. ORION DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. INFORMATION ON THE SITE, INCLUDING DESCRIPTIONS OF SERVICES, IS SUBJECT TO CHANGE WITHOUT NOTICE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ORION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ORION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ORION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

For clarity, this section applies to the use of the Site only. Liability in connection with security services actually engaged is governed exclusively by the applicable written service agreement.

11. Indemnification

You agree to defend, indemnify, and hold harmless ORION and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Site, or any information you submit through the Site.

12. Governing Law & Venue

These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Marin County, California, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may revise these Terms at any time by updating this page. The "Last Updated" date at the top of this page reflects the most recent revision. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

14. General Provisions

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ORION regarding use of the Site and supersede all prior understandings regarding the Site. For the avoidance of doubt, they do not supersede or modify any written service agreement between ORION and a client.
